These Terms of Use (the "Terms") are a binding agreement between you and Chief Construction Agent ("Company," "we," "us," or "our"). They govern your access to and use of Chief Construction Agent ("CCA"), including the website at https://chiefconstructionagent.com, the CCA chatbot, and all related features, content, and paid plans (together, the "Service").
Please read these Terms carefully. Among other things, they explain that paid plans renew automatically until you cancel (Section 9), limit how you may use the Service and its answers (Sections 5 through 7 and 13), disclaim warranties and limit our liability (Sections 21 and 22), require you to indemnify us (Section 23), set liquidated damages for scraping, extraction, and bulk use (Section 24), require written notice before any claim (Section 25), and require that disputes be decided by a judge, not a jury, in Hillsborough County, Florida, on an individual basis only (Section 26).
1. Acceptance of These Terms
By creating an account, clicking "Sign up," "Create account," "Subscribe," or a similar button, or by otherwise accessing or using the Service (including the free questions), you confirm that you have read, understood, and agree to be bound by these Terms and by the policies they reference, including our Privacy Policy. If you do not agree, do not create an account and do not use the Service.
You agree that clicking a button or checking a box to accept these Terms is your electronic signature and has the same effect as a handwritten signature. We keep a record of your acceptance.
If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. The Service and AI Disclosure
CCA is an independent construction information service focused on Florida commercial construction. It answers questions in writing for owners, developers, architects, engineers, contractors, and others involved in planning and building projects.
You are interacting with an artificial intelligence system, not a human. Answers are generated automatically by AI software. No person reviews an answer before you receive it, unless we separately agree in writing to provide a human review service.
The Service is delivered through a third-party platform, Pickaxe, and uses third-party AI models and payment processors. Pickaxe's Terms of Service and Privacy Policy (available at https://pickaxe.co/terms) also apply to your use of the platform, and other third-party services may have their own terms. We are not responsible for the availability, security, or performance of third-party platforms.
3. Eligibility and Business Use
The Service is offered only to adults for business use. To use it, you must:
- be at least 18 years old and able to form a binding contract;
- use the Service only for business or professional purposes related to real estate development, design, or construction, and not for personal, family, or household purposes;
- provide accurate, complete, and current registration information and keep it up to date;
- not have been previously suspended or removed from the Service;
- not be, or be acting for, a person or business that develops, sells, or operates a product or service that competes with the Service, unless we have agreed in writing; and
- meet the sanctions and export requirements in Section 27.
The Service is not directed to children. We do not knowingly collect personal information from anyone under 13. If we learn that we have, we will delete it and close the account. Contact us using the contact details posted in Section 31 if you believe a child has used the Service.
4. Accounts and Security
Each account is for one named individual. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us right away, using the contact details posted in Section 31, if you believe your account has been used without your permission.
You may not create more than one account, or use multiple accounts, email addresses, or identities, to get additional free questions, avoid usage limits, or return after a suspension.
5. Acceptable Use
The Service is designed for real people asking real questions about their own projects. You agree that you will not, and will not help or allow anyone else to:
- Automated access. Access or use the Service through bots, scripts, crawlers, spiders, scrapers, automated agents, browser automation, or any other automated means, or through any interface other than the one we provide.
- Scraping. Scrape, harvest, crawl, mirror, or copy content, answers, or data from the Service or the website, whether by automated or manual means.
- Bulk or systematic querying. Submit large volumes of questions, or questions in a planned, patterned, or systematic way (for example, working through lists of topics, questionnaires, or templated prompts) for the purpose of collecting, cataloging, or reproducing the Service's knowledge rather than getting help with your own project.
- Extraction and reverse engineering. Attempt to extract, copy, reveal, reconstruct, or reverse-engineer the Service's system instructions, prompts, configuration, knowledge base, data sets, sources, compilations, models, or methods, including by asking the Service to repeat, list, summarize, translate, encode, or export them.
- Prompt injection and jailbreaks. Use prompt-injection, jailbreak, role-play, or other techniques, including through uploaded files, intended to override the Service's instructions, bypass its safeguards, or make it behave in ways it was not designed to.
- Competing products and AI training. Use the Service or any of its answers to build, train, fine-tune, evaluate, benchmark, or improve any competing product or service, or any artificial intelligence or machine-learning model, data set, or knowledge base.
- Competitive monitoring. Access the Service to monitor or test its availability, performance, features, or answers for benchmarking or competitive research.
- Account sharing and reselling. Share your login credentials, let others use your account, or resell, rent, sublicense, white-label, or otherwise provide access to the Service or its answers to third parties as a product or service.
- Republishing. Publish, compile, or distribute answers in bulk, for example as a database, guide, course, or website, or present them as your own product.
- Circumvention. Get around usage limits, free-question limits, payment requirements, access controls, bans, or security measures, including with VPNs, multiple accounts, or false information.
- Interference. Disrupt, overload, probe, test the vulnerability of, or interfere with the Service, the platform it runs on, or other users.
- Harmful or unlawful content. Upload malware, or content that is unlawful, infringing, defamatory, or that you do not have the right to share.
- Misrepresentation. Present an answer as written by a human, or as a stamped, sealed, approved, or certified professional work product or the opinion of a licensed professional.
- Unlawful use. Use the Service in violation of any law or regulation.
We decide, in our reasonable discretion, whether a use violates this Section.
6. Usage Limits and Fair Use
Plans described as "unlimited" are subject to fair use and to these Terms. We may apply daily, weekly, and monthly caps and other limits, including on the number of questions, messages, uploads, file sizes, and conversation length. Limits may differ by plan and may change at any time, with or without notice.
If you exceed a limit, or your usage is inconsistent with normal use by one individual working on their own projects, we may slow, queue, or throttle your access, temporarily block it, or suspend or terminate your account under Section 11.
The free questions are limited to one allotment per person, not per account or device, and have no cash value.
7. Authorized Access and Computer-Access Laws
Your permission to access the Service, including through your password and account, is limited to use that follows these Terms. That permission ends automatically, without further notice, if you violate Sections 5 or 6, or if we suspend or terminate your account.
After your permission ends, any further access, including through another account, another person's credentials, or by getting around a ban, login, or other access control, is without our authorization. Unauthorized access, and obtaining information from the Service without authorization, may violate federal and state computer-access laws, including the federal Computer Fraud and Abuse Act (18 U.S.C. § 1030) and Florida's Computer Abuse and Data Recovery Act (Fla. Stat. §§ 668.801–668.805). We may pursue every remedy those laws allow, in addition to our rights under these Terms.
8. Monitoring and Who Can See Your Conversations
We may monitor, log, and review use of the Service, including questions, uploads, answers, and usage patterns, with automated tools or manual review. We do this to operate and improve the Service, enforce these Terms, and protect the Service and its users.
Please be aware that we, and support staff of our platform provider, may be able to view your conversations and uploads. We may preserve and disclose information when we believe it is reasonably necessary to enforce these Terms, comply with law or legal process, or protect our rights. We are not obligated to monitor the Service. See our Privacy Policy for more detail.
9. Subscriptions, Billing, and Automatic Renewal
Automatic renewal. Paid plans are month-to-month subscriptions that renew automatically. When you subscribe, you authorize us and our payment processor to charge your payment method the plan price, plus any applicable taxes, at the start of each monthly billing period until you cancel. Current prices are Basic: $99 per month and Plus: $199 per month. You can cancel anytime online (see Section 10). Cancellation takes effect at the end of your current billing period.
Plans. The Service offers a limited number of free questions (currently 3) and the paid monthly plans described above. Plan features are described on our pricing page and may change. Before you are charged, the checkout screen will show the price, the billing frequency, and how to cancel, and you will be asked to agree to the charges.
Payments. Payments are processed by the platform and its third-party payment processor. You must provide a valid payment method. If a payment fails, we may suspend or downgrade your access until payment is made.
Price changes. We may change prices. We will give you at least 30 days' notice before a price increase takes effect, and the new price will apply starting with your next billing period after the notice period. If you do not agree, you may cancel before the change takes effect.
Chargebacks. If you dispute a charge with your bank or card issuer after receiving the Service, rather than contacting us first, we may suspend your account while the dispute is resolved.
10. Cancellation and Refunds
How to cancel. You may cancel your subscription at any time, online, through your account or subscription settings on the platform where you subscribed. You may also cancel by contacting us using the contact details posted in Section 31. We will confirm your cancellation by email.
When it takes effect. Cancellation takes effect at the end of your current billing period. You will not be charged again, and you keep access until the end of the period you already paid for.
Refunds. Except where required by law, or as stated in Section 11 if we discontinue a plan, all fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused questions, unused features, or downgrades.
Cancelling does not end your obligations under these Terms. The restrictions in Sections 5, 7, 12, and 13 continue to apply to the Service and to all answers you received, after cancellation or termination.
11. Suspension and Termination
We may suspend, restrict, or terminate your account or access to the Service immediately, at our sole discretion, with or without notice, if we believe that you have violated or are likely to violate these Terms, that your use poses a risk to the Service, other users, or us, or that we are required to do so by law or by the platform.
If we suspend or terminate your account for a violation of these Terms, you will not receive a refund or credit of any kind, including for the remainder of the billing period. You may not create a new account without our written permission.
Termination does not end our remedies. Suspension or termination does not waive or limit our right to recover damages, liquidated damages under Section 24, attorneys' fees and costs, or injunctive relief for any violation, including violations we discover after your account ends.
If you believe we suspended or terminated your account in error, you may contact us using the contact details posted in Section 31. We will review your request, but our decision is final.
We may also discontinue the Service or any paid plan. If we do so for reasons other than your violation of these Terms, we will refund the unused portion of any period you have already paid for.
When your access ends, your license under Section 13 ends, except as stated there. Section 30 lists the Sections that survive.
12. Intellectual Property and Trade Secrets
The Service and everything in it belong to the Company or its licensors, including its software, design, system instructions, prompts, configuration, knowledge base, data sets, written content, answer formats, and the selection, arrangement, and compilation of its information and data. The Service is protected by copyright, trade secret, trademark, and other laws.
The Service's system instructions, prompts, configuration, knowledge base, data sets, and compilations are confidential and are our trade secrets. We take reasonable measures to keep them secret, including these Terms. You may not access, use, or disclose them except as these Terms allow.
"Chief Construction Agent," "CCA," and related names and logos are our trademarks. Other trademarks belong to their owners, and their mention does not imply any affiliation or endorsement. Except for the limited license in Section 13, we grant you no rights in the Service, and we reserve all rights not expressly granted.
13. Your License to Use Answers
Subject to these Terms and your payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the answers you receive from the Service for your own projects. This includes sharing an answer with the people working with you on that specific project, such as your design professionals, attorney, lender, or contractor.
This license does not allow any use prohibited by Section 5, including republishing answers in bulk, reselling them, or using them to build or train a competing product or AI model. Because answers are generated by AI, similar answers may be given to other users, and you obtain no exclusive rights in them.
After your access ends, you may keep using answers you received for the specific projects you received them for, as long as you continue to follow these Terms. This continued license ends automatically if you violate these Terms.
14. Your Content and Uploads
You keep ownership of the questions, files, photos, plans, contracts, and other materials you submit ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and use Your Content to provide, maintain, secure, and improve the Service and to enforce these Terms, as described in our Privacy Policy. Your Content is also processed by our platform provider and AI model providers under their own terms.
You represent that you have all rights and permissions needed to submit Your Content and that doing so does not violate any law, contract, or confidentiality obligation. Do not submit information you are not allowed to share. Do not submit Social Security numbers, financial account or payment card numbers, health information, or other sensitive personal information.
15. Feedback
If you send us suggestions, ideas, or feedback about the Service, we may use them for any purpose without any obligation or payment to you.
16. AI Accuracy
AI technology is still developing, and it makes mistakes. When you use the Service, you understand and agree that:
- answers may be incomplete, out of date, or wrong, even when they sound detailed and confident;
- the Service can only consider the information and documents you give it, and may miss or misread items;
- codes, permitting rules, prices, and market conditions change, and answers may not reflect the latest changes; and
- you must review every answer and independently confirm anything important before you rely on it.
17. No Professional Advice
The Service provides general information for informational purposes only. It is not legal, engineering, architectural, accounting, financial, or licensed contractor advice, and it does not create an attorney-client, engineer-client, architect-client, or any other professional relationship.
The Service is not a design professional of record. It does not approve, reject, stamp, seal, or certify any drawing, submittal, specification, or other document, and it does not make code-compliance determinations. Cost, schedule, and pricing figures, including any discussion of a guaranteed maximum price, are general ranges and examples, not quotes, estimates you can rely on, or guarantees.
Codes, permitting, and costs vary by location and change over time. The Service focuses on Florida, and its information may not apply elsewhere. Before acting on any answer, you must verify it with appropriately licensed professionals and with the authority having jurisdiction over your project. You are solely responsible for your decisions and for your project.
18. Independence
This service is independent and never recommends or steers work to any contractor.
Any discussion of delivery methods or contractor-selection approaches is general information, and you are solely responsible for choosing the professionals and contractors you hire.
19. Third-Party Services and Links
The Service relies on and may link to third-party platforms, AI model providers, payment processors, and websites. We do not control them and are not responsible for their content, policies, or performance. Your use of them is at your own risk and may be governed by their terms.
20. Copyright Complaints
We respect intellectual property rights and respond to notices of claimed copyright infringement that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe material available through the Service infringes your copyright, send our designated copyright agent a written notice that includes:
- your physical or electronic signature;
- identification of the copyrighted work you believe is infringed;
- identification of the material you believe is infringing, with enough detail for us to locate it;
- your name, mailing address, telephone number, and email address;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act for the owner.
Designated copyright agent: the name, mailing address, and email address of our designated copyright agent will be posted on this page.
If material you submitted was removed and you believe that was a mistake, you may send a counter-notice that meets the requirements of 17 U.S.C. § 512(g). Knowingly false notices or counter-notices may create liability under 17 U.S.C. § 512(f). We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
21. Disclaimer of Warranties; No Reliance
THE SERVICE, ALL ANSWERS, AND ALL CONTENT ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY ANSWER WILL BE ACCURATE, CURRENT, COMPLETE, OR SUITABLE FOR YOUR PROJECT. YOU USE THE SERVICE AND ANY ANSWER ENTIRELY AT YOUR OWN RISK.
NO RELIANCE. YOU AGREE THAT IN ENTERING INTO THESE TERMS AND IN USING THE SERVICE YOU HAVE NOT RELIED ON ANY STATEMENT, REPRESENTATION, PROMISE, OR WARRANTY THAT IS NOT EXPRESSLY STATED IN THESE TERMS, INCLUDING ANY STATEMENT ON OUR WEBSITE, IN MARKETING MATERIALS, IN EXAMPLES, OR IN ANY ANSWER. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, THAT YOU OBTAIN FROM US OR THROUGH THE SERVICE CREATES ANY WARRANTY.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
22. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST FINANCING, LOST OPPORTUNITY, LOSS OF USE OR DATA, OR LOSS OF GOODWILL, OR FOR PROJECT DELAYS, COST OVERRUNS, CHANGE ORDERS, CONSTRUCTION DEFECTS, OR CLAIMS BY THIRD PARTIES, ARISING OUT OF OR RELATING TO THE SERVICE, ANY ANSWER, OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, ANY ANSWER, OR THESE TERMS WILL NOT EXCEED THE LESSER OF (A) THE AMOUNTS YOU ACTUALLY PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limits apply even if a remedy fails of its essential purpose, and they reflect an allocation of risk that is reflected in our prices, including the free questions. They do not limit liability for our fraud or intentional misconduct, or any other liability that cannot be limited under applicable law.
23. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its owners, officers, employees, contractors, agents, licensors, successors, and assigns (the "Indemnified Parties") from and against any and all claims, demands, suits, proceedings, and investigations, and all related losses, damages, liabilities, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys' fees, expert fees, and other defense costs, arising out of or relating to:
- your access to or use of the Service or of any answer, including any decision you or others make based on an answer;
- your projects, and any claim by an owner, lender, design professional, contractor, subcontractor, supplier, tenant, buyer, insurer, or other person involved in or affected by your projects;
- Your Content, including any claim that it infringes or violates anyone's rights;
- your violation of these Terms, including Sections 5, 6, 7, 12, and 13; or
- your violation of any law or of the rights of any third party.
Defense costs are covered from the time a claim is first made, whether or not the claim succeeds. We may choose our own counsel and control the defense and settlement of any claim, at your expense, and you will cooperate fully. You may not settle any claim that affects an Indemnified Party without our prior written consent. Your obligations under this Section are in addition to any other remedies we have.
24. Remedies for Misuse; Liquidated Damages
Injunctive relief. You agree that a violation or threatened violation of Sections 5, 7, 12, or 13, including automated access, scraping, bulk or systematic querying, extraction of the Service's instructions or knowledge, account sharing, or use of answers to build or train a competing product or AI model, would cause us irreparable harm for which money damages would not be an adequate remedy. We are entitled to temporary, preliminary, and permanent injunctive relief and other equitable relief to stop or prevent any such violation, without posting a bond or other security, or with the smallest bond the court allows, and without having to prove actual damages. We may also require the return or destruction of anything obtained in violation of these Terms.
Liquidated damages. The main harm from scraping, extraction, and bulk use is the loss of value of the Service's confidential knowledge base, instructions, and compilations to a person who can copy them, build a substitute, or avoid paying for the Service. That harm is real but very difficult to measure at the time you accept these Terms, because it depends on how the material is later used, by whom, and for how long. You and we therefore agree that a reasonable pre-estimate of our damages, and not a penalty, is the following:
- Covered violations: (a) any access to or use of the Service by bots, scripts, scrapers, or other automated means; (b) scraping or copying answers or content in bulk; (c) bulk or systematic querying described in Section 5; (d) any attempt to extract or reconstruct the Service's system instructions, prompts, configuration, knowledge base, or data sets; and (e) using answers or other Service content to build, train, or improve a competing product or AI model.
- Amount: $500 for each separate covered violation, as determined by the court. The total for each account used in covered violations will not exceed the greater of (1) $2,388 or (2) twelve (12) months of the highest-priced paid plan in effect when the violation began (at current prices, $199 x 12 = $2,388).
- Rationale: the per-violation amount reflects the cost of detecting, investigating, and responding to each separate extraction or scraping event, and the value of the material taken. The per-account cap reflects about a year of subscription revenue that a person holding a copy of the Service's knowledge would no longer need to pay, and that a competing product could divert.
Liquidated damages are our sole monetary remedy for the loss of value of the material obtained through a covered violation. They do not limit our right to injunctive relief, to recover attorneys' fees and costs under Section 26, or to recover actual damages for any different harm, such as damage to systems, data, or the platform. Liquidated damages are owed in addition to any fees you already paid, which are not refunded.
25. Required Notice Before Any Claim
Notice is a condition before any claim. Before you file any lawsuit, counterclaim, or other proceeding against us, you must (a) send us a written notice, using the contact details posted in Section 31, that describes the claim, the facts it is based on, and the relief you want; and (b) negotiate with us in good faith for at least 30 days after we receive the notice. If you do not follow this Section, the court may dismiss or stay the proceeding until you do.
We will follow the same process, using the email on your account, before we file a claim against you for money damages, except that this Section does not apply to claims for injunctive or other equitable relief, to claims under Sections 5, 7, 12, 13, or 24, or to claims in small claims court.
Any limitation period that applies to a claim is paused from the date the notice is received until 30 days later, so this process never shortens the time you have to bring a claim.
26. Governing Law, Venue, Fees, and Waivers
Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-laws rules.
Exclusive venue in Hillsborough County, Florida. Any lawsuit or proceeding arising out of or relating to these Terms or the Service must be brought only in the state courts located in Hillsborough County, Florida, or the federal court for the district and division that includes Hillsborough County, Florida. You consent to the personal jurisdiction of those courts and waive any objection to venue there, including any objection that those courts are an inconvenient forum. An individual claim within the limits of small claims court may be brought in the small claims court located in Hillsborough County, Florida. We may seek injunctive relief under Section 24 in any court of competent jurisdiction.
Attorneys' fees. In any lawsuit or proceeding arising out of or relating to these Terms or the Service, the prevailing party is entitled to recover its reasonable attorneys' fees and costs, including fees for any appeal and for determining the amount of fees. This applies equally to you and to us.
JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY LAWSUIT OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
CLASS ACTION WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION. A COURT MAY NOT CONSOLIDATE YOUR CLAIMS WITH ANYONE ELSE'S OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING, AND MAY AWARD RELIEF ONLY IN YOUR FAVOR INDIVIDUALLY.
Rights that cannot be waived. Nothing in these Terms waives or limits any right or remedy that cannot be waived or limited under applicable law, and nothing in these Terms shortens any period that the law allows for bringing a claim.
27. Export Controls and Sanctions
You may not use, export, or provide access to the Service in violation of U.S. export control or sanctions laws. You represent that you are not located in a country or region subject to comprehensive U.S. sanctions, and that you are not named on, or owned or controlled by anyone named on, a U.S. government restricted-party list, including the Treasury Department's Specially Designated Nationals list and the Commerce Department's Entity List and Denied Persons List. Do not submit information that requires an export license to share.
28. Electronic Communications and Signatures
You agree to receive agreements, notices, disclosures, receipts, and other communications from us electronically, by email to the address on your account or through the Service. Electronic communications satisfy any legal requirement that a communication be in writing. You can keep copies by saving or printing them. You may withdraw this consent by closing your account, but we cannot provide the Service without it.
We send account and transaction emails, such as receipts, renewal and cancellation confirmations, and notices about these Terms, as part of the Service. If we send marketing emails, each one will include a way to unsubscribe, and opting out of marketing will not affect account and transaction emails.
29. Changes to These Terms and the Service
We may update these Terms from time to time. When we do, we will post the updated Terms on this page and change the effective date above. If a change materially and adversely affects your rights, we will give you at least 30 days' notice by email or through the Service before it takes effect, unless the change is needed sooner for legal, security, or abuse-prevention reasons. Usage limits may change as described in Section 6.
Changes apply only going forward. An updated version does not apply to any dispute, claim, or conduct that arose before the updated version took effect; those are governed by the version in effect at the time. By continuing to use the Service after changes take effect, you agree to the updated Terms. If you do not agree, you must stop using the Service and cancel your subscription.
We may also change, add, or remove features of the Service at any time.
30. General Terms
Survival. The following survive any cancellation, suspension, or termination of your account or of these Terms: Sections 5 (Acceptable Use), 7 (Authorized Access), 10 (Cancellation and Refunds), 11 (Suspension and Termination), 12 (Intellectual Property and Trade Secrets), 13 (Your License to Use Answers, as limited there), 14 (Your Content), 15 (Feedback), 16 (AI Accuracy), 17 (No Professional Advice), 21 (Disclaimer of Warranties; No Reliance), 22 (Limitation of Liability), 23 (Indemnification), 24 (Remedies for Misuse; Liquidated Damages), 25 (Required Notice Before Any Claim), 26 (Governing Law, Venue, Fees, and Waivers), 27 (Export Controls and Sanctions), 28 (Electronic Communications), this Section 30, and any amounts you owe.
Entire agreement. These Terms, together with the policies they reference, are the entire agreement between you and us about the Service and replace any prior agreements, statements, or understandings on that subject. A separately quoted custom review service may be governed by its own written agreement.
Severability and waiver. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent allowed, or modified to the minimum extent needed to make it enforceable, and the rest will remain in effect. Our failure to enforce any provision is not a waiver.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or to a successor in a merger, acquisition, or sale of assets.
Relationship. These Terms do not create any partnership, joint venture, agency, fiduciary, or employment relationship. There are no third-party beneficiaries, except that the Indemnified Parties may enforce Sections 21 through 23.
Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including outages of third-party platforms or AI providers.
Interpretation. Headings are for convenience only. "Including" means "including without limitation." These Terms will not be construed against either party because that party drafted them.
